Deed of Gift of Shares

GIFT DEED

THIS DEED OF GIFT is made and entered into at [PLACE] on this 05th day of [DATE].

BY AND BETWEEN

[DIRECTOR/DONOR NAME], wife of [SPOUSE NAME], permanent residing at [ADDRESS], hereinafter referred to as the “DONOR” (which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include her legal heirs, executors, and administrators) of the ONE PART;

AND

[DIRECTOR NAME], son of [FATHER NAME], residing at [ADDRESS], hereinafter referred to as the “DONEE” (which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include his legal heirs, executors, and administrators) of the OTHER PART.

(The Donor and Donee are hereinafter collectively referred to as the “Parties” and individually as a “Party”.)

WHEREAS:

The Donor is the sole, absolute, and registered legal owner of the equity shares more particularly described in the Schedule annexed hereto (hereinafter referred to as the “Said Shares”).

The Donor, out of natural love and affection for the Donee, is desirous of gifting the Said Shares to the Donee, and the Donee has signified his acceptance of the said gift.

The Donor is making this gift voluntarily, out of her own free will, and without any monetary consideration, coercion, or undue influence.

NOW, THIS DEED WITNESSETH AS FOLLOWS:

In consideration of the natural love and affection which the Donor bears for the Donee, the Donor does hereby grant, transfer, convey, and assign unto the Donee, by way of an absolute and irrevocable gift, all of her right, title, and interest in the Said Equity Shares as mentioned in Schedule of this Gift Deed, to have and to hold the same unto the Donee absolutely and forever.

The Donee hereby accepts this gift of the Said Shares from the Donor and agrees to hold the same with all rights, title, interest, and benefits attached thereto.

The Donor has, simultaneously with the execution of this Deed, delivered to the Donee a duly executed Share Transfer Form (Form SH-4) to facilitate the transmission of the Said Shares into the name of the Donee in the records of the company.
